1. Scope & contracting parties
These Terms of Use govern the licensing and use of the software "Chauffeur" ("Software"). The licensor is Dimos Maginas ("we", "us"). Sales, payment processing, and invoicing are handled by our authorized reseller and Merchant of Record Paddle.com Market Ltd ("Paddle"). When you purchase, the purchase contract is concluded with Paddle; the license agreement for use of the Software exists between you and us. Paddle's terms also apply to the purchase (paddle.com).
2. License grant
We grant you a personal, non-exclusive, non-transferable license to install and use the Software in accordance with the plan you selected.
3. Private (non-commercial) use
The Software may be used free of charge for private, personal, and non-commercial purposes.
4. Commercial use & subscriptions
Any commercial or business use requires a valid commercial license. This license is offered as a subscription (monthly or annual). Commercial use includes, among other things, use in companies, organizations, or public institutions, use by freelancers or contractors in the course of paid work, and integration into a commercial product or service.
The subscription renews automatically for the selected period until cancelled. Cancellation and management take place through the Paddle customer portal or by email to us. Details on cancellation and refunds are governed by our Refund & Cancellation Policy.
5. Free tier
Chauffeur includes a permanent free tier that lets you save and restore a single context. It requires no payment method and no account, and it does not expire. Pro features — multiple named contexts, context import/export, and rolling snapshots — require a paid plan.
6. Activation & online validation
Pro licenses are activated via a product key and are bound to the relevant device (machine-bound activation, by default up to three devices per license). The Software validates license status online; if the service is temporarily unavailable, a limited offline grace period applies. The free tier requires no activation and works fully offline. The data processed for this purpose is described in our Privacy Policy.
7. Intellectual property
All rights, title, and interest in the Software, including all intellectual property rights, remain with the licensor. The Software is protected by copyright law and international treaties. The source code is proprietary and is not provided.
8. Restrictions
- No modification, reverse engineering, decompilation, or disassembly, except where mandatorily permitted by law;
- No transfer, sublicensing, sale, rental, or leasing to third parties;
- No removal or alteration of copyright or proprietary notices.
9. Warranty
For Software provided free of charge (private use), warranty is limited to intent and fraudulently concealed defects. For paid licenses, statutory warranty rights apply. Beyond that, no particular fitness for a specific purpose or freedom from defects is guaranteed.
10. Liability
We are liable without limitation for intent and gross negligence, as well as for injury to life, body, or health and under product liability law. In cases of simple negligence, we are liable only for breach of a material contractual obligation and only up to the typical, foreseeable damage. Otherwise, liability is excluded. These limitations do not apply where mandatory statutory consumer rights provide otherwise.
11. Term & termination
The license ends automatically if you breach material provisions of this agreement. Upon termination, all copies of the Software must be deleted. Statutory termination rights remain unaffected.
12. Governing law & jurisdiction
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the country of your habitual residence remain unaffected. Place of jurisdiction is Stuttgart, Germany, to the extent legally permissible.
13. Final provisions
If any provision is invalid, the validity of the remaining provisions remains unaffected. This is the complete agreement regarding use of the Software and replaces previous arrangements.
